1. Introduction

Welcome to Intente Tech Solutions Private Limited ("Company", "we", "us", or "our"). These Terms and Conditions ("Terms") govern your access to and use of our website located at https://intentetech.com and any related services, digital products, or consulting engagements ("Services").

By accessing our website or using our Services, you agree to be bound by these Terms. If you do not agree to all of these Terms, you may not access or use our Services.

Acceptance of Terms: These Terms constitute a legally binding agreement between Intente Tech Solutions and you, whether personally or on behalf of an entity ("you"). Your continued use of our Services signifies your acceptance of these Terms and any future amendments.

Scope and Audience

These Terms apply to all business clients of Intente Tech Solutions, whether located in India or internationally. Our Services include but are not limited to:

  • Software development and licensing
  • Enterprise Resource Planning (ERP) systems
  • Internet of Things (IoT) solutions
  • Electronics design and manufacturing
  • Technology consulting services

2. Definitions

For the purposes of these Terms, the following definitions apply:

Term Definition
Digital Products Any software, application, ERP system, IoT solution, firmware, or other digital asset developed and distributed by Intente Tech Solutions.
Digital Services Custom software development, consulting, implementation, training, maintenance, or other professional services provided by Intente Tech Solutions.
License A non-exclusive, non-transferable right granted to the Customer to use Digital Products subject to these Terms.
Customer The entity or individual that purchases or uses Digital Products or Digital Services from Intente Tech Solutions.
Effective Date The date when the Customer first accesses or uses the Services, or the date specified in an Order Form.

3. Terms for Digital Products

License Grant

Subject to these Terms and payment of applicable fees, Intente Tech Solutions grants Customer a limited, non-exclusive, non-transferable, non-sublicensable license to use the Digital Products for internal business purposes only.

Restrictions

Customer shall not:

  • Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of any Digital Product
  • Modify, adapt, translate, or create derivative works based on the Digital Products
  • Rent, lease, loan, resell, or otherwise commercially distribute the Digital Products
  • Remove any proprietary notices or labels on Digital Products

Delivery & Acceptance

Digital Products will be delivered electronically via download or access link. The Digital Product is deemed accepted upon delivery.

Refund Policy: Due to the nature of digital products, all sales are final once the product has been downloaded or accessed. In case of material defects reported within 7 days of delivery, we will provide a replacement or fix at our discretion.

Warranty Disclaimer

DIGITAL PRODUCTS ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. INTENTE TECH SOLUTIONS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Updates & Support

Updates to Digital Products may be provided at Intente Tech Solutions' discretion. Standard support is included for 12 months from purchase, with extended support available under separate agreement.

4. Terms for Digital Services

Scope of Work

Digital Services will be described in a Statement of Work (SOW) or proposal that specifies deliverables, timelines, and fees. The SOW becomes part of these Terms when executed by both parties.

Engagement Timeline

Services will commence on the start date specified in the SOW and continue until completion, unless terminated earlier in accordance with these Terms.

Customer Responsibilities

Customer agrees to:

  • Provide timely access to necessary information, systems, and personnel
  • Appoint a project manager with decision-making authority
  • Provide a suitable working environment for on-site engagements
  • Timely review and approval of deliverables

Deliverables & Acceptance

Customer shall have 7 business days to review deliverables and notify Intente Tech Solutions of any deficiencies. Acceptance is deemed if no notice is provided within this period.

Intellectual Property: All pre-existing IP and background technology remains the property of its respective owner. Intente Tech Solutions retains ownership of all deliverables until full payment is received, at which point ownership of specifically developed deliverables (excluding tools, frameworks, and methodologies) transfers to Customer.

Confidentiality

Both parties agree to protect each other's Confidential Information with at least the same degree of care as they use for their own similar information, but in no event less than reasonable care.

Termination

Either party may terminate a Service engagement:

  • For convenience with 30 days written notice
  • Immediately for material breach by the other party
  • Upon insolvency or bankruptcy of the other party

5. Data Protection & Privacy

Intente Tech Solutions is committed to protecting your privacy and handling your data in an open and transparent manner. We comply with the Information Technology Act, 2000 and related rules in India, and for EU residents, with the General Data Protection Regulation (GDPR).

Data Collection

We collect personal data necessary for order fulfillment, service delivery, and business operations. This may include:

  • Contact information (name, email, phone, address)
  • Business information (company name, title)
  • Payment and billing information
  • Technical and usage data

Data Use

We use your personal data only for the purposes for which it was collected, including:

  • Providing and improving our Services
  • Processing transactions and sending related information
  • Responding to inquiries and providing support

6. Payments, Billing & Pricing

Fees and Payment Terms

Fees for Services will be specified in the applicable SOW or order form. Unless otherwise specified:

  • Digital Products require full payment before delivery
  • Digital Services may be billed in milestones as specified in the SOW
  • Invoices are payable within 30 days of receipt

Taxes

All fees are exclusive of taxes. Customer is responsible for all sales, use, GST, VAT, and other similar taxes, except for taxes based on Intente Tech Solutions' net income.

Late Payments

Overdue payments will accrue interest at the lesser of 1.5% per month or the maximum rate allowed by law. Intente Tech Solutions may suspend services for accounts more than 45 days past due.

Currency

Transactions with Indian clients will be billed in INR (₹). International transactions may be billed in USD ($) or other mutually agreed currency.

7. Indemnification & Liability

Customer Indemnification

Customer agrees to indemnify and hold harmless Intente Tech Solutions from any claims, damages, or expenses arising from Customer's misuse of the Services or violation of these Terms.

Limitation of Liability

IN NO EVENT SHALL INTENTE TECH SOLUTIONS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM THESE TERMS.

INTENTE TECH SOLUTIONS' AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY CUSTOMER FOR THE SERVICES GIVING RISE TO THE LIABILITY IN THE 12 MONTHS PRECEDING THE FIRST INCIDENT OUT OF WHICH THE LIABILITY AROSE.

Force Majeure

Neither party shall be liable for any failure or delay in performance under these Terms due to causes beyond its reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, or strikes.

8. Legal Framework & Dispute Resolution

Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. The application of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded.

Jurisdiction

Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Pune, Maharashtra, India.

Dispute Resolution

Before initiating formal proceedings, the parties agree to attempt to resolve any dispute through good faith negotiations. If the dispute is not resolved within 30 days, either party may pursue other remedies available under law.

GDPR Note: For customers located in the European Union, any disputes may be resolved through arbitration in accordance with the rules of the International Chamber of Commerce (ICC).

9. Amendments & Notices

Modification of Terms

Intente Tech Solutions reserves the right to modify these Terms at any time. We will provide notice of material changes through our website or via email at least 30 days before the changes take effect. Your continued use of Services after the effective date constitutes acceptance of the modified Terms.

Notices

All notices regarding these Terms or legal matters shall be in writing and delivered by email to legal@intentetech.com (for Intente Tech Solutions) and to the email address associated with your account (for Customer). Notice is deemed given upon transmission.

10. Entire Agreement, Severability & Waiver

Entire Agreement

These Terms, together with any SOWs, proposals, or order forms, constitute the entire agreement between the parties concerning the subject matter hereof, superseding all prior agreements, negotiations, and discussions.

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

Waiver

No waiver of any provision of these Terms shall be effective unless in writing and signed by both parties. Failure to enforce any right or provision will not be deemed a waiver of such right or provision.

Assignment

Customer may not assign these Terms without Intente Tech Solutions' prior written consent. Intente Tech Solutions may assign these Terms to an affiliate or successor in connection with a merger, acquisition, or sale of assets.
